Terms and Conditions

1. Booking, Payment and Pricing

• A £50 deposit or the full amount is required to secure a booking, payable via the online checkout.
• Booking is only confirmed once payment is received.
• The remaining balance is due on the day of the session, payable by card.
• All prices are listed on the website (actorheadshots.london) and are inclusive of any applicable tax.
• Maxim Vinciguerra is not currently VAT registered. If this changes, prices may be adjusted accordingly and clients will be notified.
• Prices are subject to change. The price at the time of booking confirmation applies to that booking.
• If a discount code or gift voucher is used, the terms of that offer apply alongside these terms.

2. Cancellation

• 2.1. Up to 72 hours prior to the shoot: deposit refunded, minus a 5% processing fee.
• 2.2. Within 72 hours of the shoot: deposit is non-refundable.
• 2.3. Within 24 hours of the shoot, or no-show: the full photoshoot fee is payable.

• The photographer reserves the right to cancel a session due to illness, emergency, or circumstances beyond their control. In this case, a full refund or rescheduled session will be offered.
• Force majeure: neither party shall be liable for failure to perform obligations due to events beyond reasonable control.

3. Rearrangement

If you would like to rearrange a shoot, admin fees apply as follows:

• 3.1. Up to 72 hours prior to the shoot: no charge.
• 3.2. Within 72 hours of the shoot: the deposit amount is forfeited, unless the original slot can be filled.
• 3.3. Within 24 hours of the shoot: the full photoshoot fee is payable.
• 3.4. The deposit is non-refundable if the session is cancelled after rearrangement.

• The photographer may need to reschedule due to unforeseen circumstances and will provide as much notice as possible.

4. Copyright

• Copyright of all photographs remains with Maxim Vinciguerra under the Copyright, Designs and Patents Act 1988.
• Images may not be reproduced, copied, or used except as provided under the licence granted in section 5.
• The photographer reserves the right to use any images from your session for portfolio, website, social media, marketing, and promotional purposes unless you request otherwise in writing before the session takes place.
• All images must be credited either to 'Infinity Focus Photography' or 'Maxim Vinciguerra', on Instagram @infinityfocusphoto

5. Licence

Upon delivery of the final edited images, the client is granted a perpetual, non-exclusive, non-transferable licence to use the images for the following purposes:

• Casting profiles and submissions (including Spotlight, Mandy, Backstage, Casting Networks and similar platforms).
• Agent and agency submissions and websites.
• Personal websites and online portfolios.
• Social media profiles and posts.
• Theatre programmes and promotional materials for productions the client appears in.
• Drama school applications and submissions.

Self-tape monologue footage (if the Quick Take Monologue add-on was purchased) may be used for audition submissions, showreels, and personal portfolio use.

5.1 What is provided

• The number of edited digital images is as specified by the package booked, as listed on the website.
• Unedited images are not provided with any actor headshot package.
• RAW files are not provided under any circumstances.

5.2 Restrictions on use

• The client may not sell, sub-licence, or redistribute images.
• The client may not use images in a commercial manner to earn money, for advertising, or as a trademark, except as provided in this agreement.
• The client shall not use images in an obscene, defamatory, or immoral way.
• The client may not alter the images in any way, nor allow any third parties or AI software to edit the images. This includes AI-powered filters, generative fill, face-swapping, and similar tools.
• The client shall not allow others to use the images except as permitted under this licence.

5.3 Expiry or termination

• The licence is granted in perpetuity, provided the client complies with these terms.
• If the client breaches any of these terms, the licence is automatically revoked and all images must be removed from use.

5.4 Liability and indemnity

• Maxim Vinciguerra will not be liable for any third party claims, losses, damages, or costs resulting from the client's use of the images.
• The client agrees to indemnify Maxim Vinciguerra against any claims arising from unauthorised use of the images or breach of this agreement.

5.5 Intellectual property rights

• Maxim Vinciguerra retains all intellectual property rights in the images. Nothing in this agreement transfers ownership of intellectual property.

6. Delivery

• After your session, you will receive a private online proof gallery where you can choose the images you would like edited.
• The proof gallery is typically available within 24 to 48 hours of your session.
• Once you have made your selections, edited images are delivered within 7 to 10 business days.
• If the 48 Hour Express Editing add-on was purchased, edited images will be delivered within 48 hours of your selections being submitted.
• Images are delivered digitally via a private online gallery in high resolution, suitable for Spotlight, agency websites, print, and online use.

7. Retouching

• All packages include professional retouching of the selected images.
• Retouching is natural in style and aims to present the client authentically, with adjustments for clarity, consistency, and skin tone.
• Heavy retouching, compositing, or significant alterations to appearance are not included as standard.
• Requests for additional or specific retouching will be considered on a case-by-case basis and may incur additional charges.
• Additional retouched images beyond the package allowance can be purchased (see add-ons on the website).

8. Storage

• Unedited proof images are stored for a minimum of 60 days from the date of the session to allow the client to choose images for editing. After this period, unedited files may be deleted.
• Edited images are stored for a minimum of two years but this cannot be guaranteed beyond that period.
• It is the client's responsibility to download and back up all delivered images.
• Content shared via online gallery links remains available for a limited period. The client should download images promptly.

9. Travel and Parking

• It is the client's responsibility to arrive on time for the booked session.
• Late arrival may result in a shorter session without compensation or extension.
• If the session is at the Herne Hill studio, directions will be provided in the booking confirmation email.

10. Lost and Found

• Any personal items left at the studio should be reported as soon as possible.
• If any items are left, you are welcome to collect them during business hours within two weeks. Alternatively, the item can be posted to you at a cost of £25 plus postage. After two weeks, the item or items will be recycled, donated or disposed of.
• The photographer will make reasonable efforts to safeguard lost items but accepts no liability for loss or damage to personal property.

11. Changes to These Terms

• These terms may be updated from time to time.
• The most current version will always be available at actorheadshots.london/terms.
• By booking a session, you agree to the terms in effect at the time of your booking.

12. Governing Law

• These terms and conditions are governed by the laws of England and Wales.
• Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
